By accessing or using the SplashDash platform ("the Service"), a product of Develomark, LLC DBA SplashDash.AI ("we," "us," "our"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). Please read them carefully as they govern your use of our products and services.

Acceptance of Terms:

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agreed to these Terms. If you do not agree to the Terms, you may not use the Service.

Definitions:

• Admin User: Any User managing the Subscriber’s account without utilizing the Service directly.
• Authorized User: A Subscriber-authorized individual using the Service.
• Claim: Any demand, action, or legal proceeding filed against a Party.
• Confidential Information: Non-public, proprietary business information that is disclosed in a way that is clearly marked or identified as confidential.
• Subscriber: The entity identified in the Sales Order who has executed this Agreement.
• Subscriber Data: All files, content, and data (including personal data) that belong to or are controlled by Subscriber and processed through SplashDash.
• Personal Data: Any information related to an identified or identifiable natural person.
• Third-Party Product: Any platform, product, or service not developed by SplashDash that interacts with the Service.
• Platform Subscription Term: The duration of the Subscription to the SplashDash platform.
• Sensitive Personal Information: Includes, but is not limited to, personal financial information, health data, and personal identifiers like social security numbers.

Products & Services:

During the term of this Subscription, Subscriber will have access to:



• Cloud-based storage and analysis tools: We provide cloud services that analyze, and process your data.
• Front-end interfaces: Tools including mobile apps, web interfaces, plugins, and connectors that retrieve and manage aspects of your business.
• Third-party Integrations: Access to various SEO tools (e.g., Google Analytics, SEMRush, Ahrefs) to aggregate and analyze data.

The use of some features may require additional agreements or subscriptions.

Account Responsibilities:

You are responsible for:

• Keeping your account information secure (this means your email which is used to authenticate).
• Ensuring all data you submit complies with applicable laws and third-party intellectual property rights.
• Ensuring your use of the Service is lawful and compliant with these Terms.

You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.

Data Collection & Use:

• Data Collected: We collect website URLs, keywords, competitive data, and map listing URLs directly from you to generate reports.
• How Data is Used: Data is used to create reports, analyze metrics, and optimize your SEO strategies. It may also be used to improve our Service based on your feedback.
• Data Storage and Security: Data is stored securely on third-party cloud platforms. We do not store personal passwords or access credentials.

Third Party Products:

The Service integrates with various third-party products (e.g., Google Analytics, SEMRush). These services may require their own terms of use, and you must comply with them when using those integrations through SplashDash. See all integrations directly on https://www.splashdash.ai

We do not control third-party services and are not responsible for their content or performance.

Credits and Payments:

Features of SplashDash require payment which are in the form of credits. By subscribing to our credits, you agree to pay the applicable fees as set forth in the Sales Order. All payments are due in advance and are non-refundable unless otherwise specified or clear error on our side.

Failure to pay on time may result in account suspension or termination.

Contact Information:

All intellectual property rights related to SplashDash, including its software, branding, and content, are owned by Develomark, LLC DBA SplashDash.AI. You are granted a limited, non-transferable license to use the Service for the duration of your subscription. You may not copy, distribute, or modify any part of the Service without our prior consent.

Confidentiality:

You agree to keep confidential any proprietary information received from us. This includes any non-public information related to our platform or business.

We also commit to maintaining the confidentiality of your sensitive data and proprietary information. Both parties will take appropriate measures to safeguard confidential information.

Limitation of Liability:

To the maximum extent permitted by law, Develomark, LLC DBA SplashDash.AI will not be liable for any indirect, incidental, or consequential damages, including lost profits, arising out of the use of the software,

Indemnification:

You agree to indemnify and hold SplashDash harmless against any claims, losses, or damages arising out of your use of the software, including any violation of these Terms or applicable laws.

Dispute Resolution:

In the event of a dispute, the parties agree to first attempt to resolve the issue informally. If this fails, disputes will be resolved by binding arbitration under the rules of JAMS. The arbitration will take place in Connecticut and will be governed by Connecticut law.

Misc

• Force Majeure: Neither party will be liable for delays or failures due to unforeseen circumstances beyond their control.
• Assignment: You may not transfer your rights under this Agreement without our consent.
• Governing Law: These Terms are governed by the laws of Connecticut.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
